1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Pronto Lingo Ltd ("Pronto Lingo", "we", "us", or "our"), a company registered in England and Wales (Company No. 16614566), governing your use of our professional language services.
By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
2. Definitions
- "Agency" refers to Pronto Lingo Ltd and its authorised representatives
- "Client" refers to any individual or organisation requesting language services
- "Linguist" refers to professional translators and interpreters in our network
- "Services" refers to translation, interpreting, and related language services
- "Platform" refers to our website, applications, and service delivery systems
- "Assignment" refers to a specific translation or interpreting project
3. Eligibility and Account Requirements
To engage our services, you must:
- Be at least 18 years old or have legal capacity to enter contracts
- Provide accurate, current, and complete information
- Maintain confidentiality of account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorised use or security breach
- Comply with all applicable UK and international laws
4. Our Services
Pronto Lingo is a professional language services agency providing:
- Document Translation: Written translation by qualified linguists
- Interpreting Services: Consecutive, simultaneous, and liaison interpreting
- Sworn/Certified Translation: Legally certified translations for official use
- Localisation: Cultural and linguistic adaptation of content
- Transcreation: Creative adaptation for marketing materials
- Post-editing: Revision of machine translation output
All services are delivered through our vetted panel of professional linguists, selected based on subject matter expertise and language combination.
5. Client Obligations
As a client, you agree to:
- Provide clear, legible source texts and comprehensive briefs
- Respect intellectual property rights and confidentiality
- Provide timely feedback and approvals when required
- Make payments according to agreed terms
- Not use our services for unlawful or harmful purposes
- Not circumvent our agency to engage linguists directly
- Indemnify us against claims arising from your content
6. Intellectual Property Rights
6.1 Our Intellectual Property
All rights in our platform, systems, processes, and deliverables (excluding client content) remain with Pronto Lingo. This includes our proprietary matching algorithms, quality frameworks, and business methods.
6.2 Client Content
You retain all rights to your original content. By submitting content, you grant us a limited licence to use it solely for providing the requested services. We maintain strict confidentiality of all client materials.
7. Pricing and Payment
7.1 Pricing
- All prices are in British Pounds Sterling (GBP) unless specified
- Quotes are valid for 30 days from issue date
- All prices are inclusive of applicable taxes
- Express delivery incurs rush rates as per quotation
7.2 Payment Terms
- Payment required upon order confirmation unless credit terms agreed
- Accepted methods: credit/debit cards, bank transfer, and approved accounts
- Late payments incur interest at 8% above Bank of England base rate
- We reserve the right to suspend services for overdue accounts
8. Service Standards and Delivery
8.1 Quality Standards
- ISO 17100:2015 compliant translation workflow
- Native-speaker linguists with domain expertise
- TEP process (Translation, Editing, Proofreading)
- DBS-vetted interpreters for sensitive settings
8.2 Delivery Commitments
- On-time delivery as per agreed schedules
- Real-time project status updates
- Professional support during UK business hours
- Emergency services available with prior arrangement
9. Warranties and Liability
9.1 Our Warranties
We warrant that our services will be performed with reasonable skill and care by qualified professionals. We do not guarantee perfection or suitability for specific purposes beyond the agreed specifications.
9.2 Limitation of Liability
Our total liability for any claim shall not exceed the fee paid for the specific service. We exclude liability for:
- Indirect, consequential, or economic losses
- Loss of profits, contracts, or business opportunities
- Damage to reputation
- Losses from content inaccuracies you should have identified
Nothing excludes our liability for death, personal injury, fraud, or other liability that cannot be limited under English law.
10. Cancellation and Termination
10.1 Cancellation by Client
- Assignments may be cancelled before linguist allocation without charge
- Cancellation after allocation incurs 50% kill fee
- Cancellation within 24 hours of delivery deadline incurs full fee
- Interpreting cancellations less than 48 hours notice incur full fee plus travel expenses
10.2 Termination by Pronto Lingo
We may suspend or terminate services immediately for:
- Breach of these Terms
- Non-payment or repeated late payment
- Abusive behaviour towards staff or providers
- Submission of illegal or defamatory content
- Direct solicitation of our linguists
11. Dispute Resolution
11.1 Complaints Procedure
We aim to resolve complaints promptly. Please contact us at complaints@prontolingo.com with full details. We will acknowledge within 2 business days and aim to resolve within 10 business days.
11.2 Governing Law and Jurisdiction
These Terms are governed by English law. Disputes shall be subject to the exclusive jurisdiction of the English courts, save that we may seek injunctive relief in any jurisdiction.
12. Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- All project content and materials
- Business information and trade secrets
- Personal data and sensitive information
- Commercial terms and pricing
This obligation survives termination of services for 5 years.
13. Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or pandemic restrictions.
14. General Provisions
- Entire Agreement: These Terms constitute the complete agreement
- Severability: Invalid provisions shall not affect remaining terms
- Waiver: No waiver unless in writing and signed
- Assignment: You may not assign rights without our consent
- Third Parties: No third-party beneficiaries except as stated
15. Changes to Terms
We may update these Terms to reflect changes in law or our services. Material changes will be notified via:
- Email to registered users
- Platform notifications
- Website announcements
Continued use after changes constitutes acceptance.
